Section 1Business to business only (Unternehmer under § 14 BGB). We offer no services to consumers.

Section 2Scope, deliverables, milestones and timeline are set in each proposal or SOW. These are services: pipeline and revenue figures are targets, not guaranteed results.

Section 4Fees as set in the SOW, on a retainer, milestone or project basis, net of VAT. Invoices are payable within 14 days without deduction.

Section 4Third-party tool licences are registered to the client's own accounts and billed to the client directly.

Section 5All work products, data, accounts, playbooks and digital assets created in the engagement belong to the client.

Section 6Confidentiality during the term and for three years after.

Section 7A data processing agreement under Art. 28 GDPR wherever we process personal data on the client's behalf.

Section 8Unlimited liability for intent and gross negligence; for slightly negligent breach of essential obligations, capped at the fees paid under the SOW in the preceding twelve months.

Section 9Term and notice periods as set in the SOW. On termination we hand over all client assets.

Section 10We name a client as a reference only with their consent in text form.

Section 11German law, excluding the UN Convention on Contracts for the International Sale of Goods; place of jurisdiction Eberswalde.
